License Grant: Agency/Creator grants Brand/Client the license expressly described in the asset entries above for the uses, territory, and duration set forth. Unless otherwise agreed in writing, the license is limited to the campaign objectives and channels specified herein.

Ownership: Unless otherwise specified, Agency/Creator retains ownership of underlying pre-existing intellectual property and raw files. Brand/Client receives only the usage rights expressly granted; any transfer or assignment requires a separate written agreement and additional consideration.

FTC Disclosure & Compliance

Both parties shall comply with applicable advertising, consumer protection, and disclosure laws. Agency/Creator will include clear and conspicuous disclosures on paid or sponsored content consistent with applicable guidance and platform rules.

Exclusivity & Conflicts

If exclusivity is selected above, Agency/Creator shall not produce substantially similar content for direct competitors of Brand/Client during the exclusivity period set forth. Conflicts of interest must be disclosed in writing prior to campaign commencement.

Reporting, Metrics & Record Retention

Confidentiality

Confidential Information does not include information that is or becomes public through no fault of the receiving party, or that is independently developed or rightfully received from a third party.

Representations, Warranties & Indemnity

Each party represents that it has full power to enter into this agreement. Agency/Creator represents that the deliverables will be original or properly licensed and will not infringe third-party rights. Agency/Creator shall indemnify and hold Brand/Client harmless from claims arising from breach of these representations, subject to the limitations set forth below.

Termination & Kill Fee

Either party may terminate this agreement upon written notice for material breach if the breach is not cured within the notice period below. Termination by Brand/Client without cause shall require payment of a kill fee as set forth below.
