MARKETING CAMPAIGN MANAGEMENT

Parties

This Marketing Campaign Management Agreement (the Agreement) is entered into by and between:

Recitals and Scope

WHEREAS, Brand desires to engage Agency to create, manage and deliver marketing and promotional materials and services for the campaign described below; and WHEREAS, Agency has the skill and capacity to perform the services on the terms set forth in this Agreement.

Compensation & Payment

Brand shall pay Agency the fees set forth below in consideration for the Services. Payment shall be made in accordance with the payment schedule and subject to the conditions in this Agreement.

Expenses & Invoicing

Reimbursable out-of-pocket expenses shall be pre-approved in writing and invoiced monthly. Brand will reimburse documented expenses within thirty (30) days of receipt of a proper invoice.

Usage Rights & Intellectual Property

Subject to full payment, Agency grants Brand a non-exclusive or exclusive license as indicated below for use of the Deliverables during the Territory and Term described. Any rights not expressly granted are reserved by Agency.

FTC Disclosure Compliance

Agency and any Creator affiliates agree to comply with applicable advertising and disclosure laws, including clear and conspicuous disclosure of material connections and sponsored content. Agency will ensure disclosures are present on native content and will provide sample disclosure language to Brand for approval.

Exclusivity

Brand may require exclusivity for the campaign term as set forth below. Any exclusivity fee, scope and duration will be expressly stated and paid in addition to the Total Fee.

Termination & Kill Fee

Either party may terminate this Agreement for material breach if such breach remains uncured for the notice period below. Early termination by Brand without cause shall trigger a kill fee as specified below to compensate Agency for work performed and commitments made.

Confidentiality

Each party will treat as confidential all non-public information disclosed by the other party and will not use such information except to perform obligations under this Agreement. Confidential information does not include information that is publicly available or independently developed.

Representations, Warranties & Indemnity

Each party represents and warrants that it has the right to enter into this Agreement. Agency represents that Deliverables will not infringe third-party rights. Agency will indemnify Brand against claims arising from Agency-created content, and Brand will indemnify Agency against claims arising from Brand-provided materials or directions.

Limitation of Liability

Except for willful misconduct or indemnity obligations, neither party will be liable for consequential, indirect or punitive damages. Aggregate liability under this Agreement will not exceed the amount actually paid to Agency under this Agreement in the twelve (12) months preceding the claim.

Reporting & Approvals

Agency will provide campaign performance reports and access to analytics as agreed herein. Brand shall provide timely approvals; delayed approvals that impact schedule will entitle Agency to schedule adjustments and potential additional fees.

Force Majeure; Dispute Resolution; Governing Law

Neither party will be liable for failure to perform due to causes beyond its reasonable control. Disputes will first be escalated to senior management for thirty (30) days of good-faith negotiation. This Agreement will be governed by the substantive law of the State identified below.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below by certified mail, overnight courier, or email with confirmation of receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior communications. Amendments must be in writing and signed by authorized representatives of both parties.
