FTC Disclosure Compliance

Creator shall ensure that all published content complies with applicable advertising disclosure standards. Creator will clearly disclose material connections and sponsored content in every piece of content published pursuant to this Agreement. Creator represents and warrants that any required disclosure will be prominent, unambiguous, and included at the time of publication.

Exclusivity

Exclusive Relationship: Creator will be exclusive to Client for the Campaign Category for a period of following the final deliverable, subject to carve-outs listed below.

Approval, Revisions & Acceptance

Approval Process: Client shall provide written feedback within calendar days of delivery. Creator will provide up to rounds of revisions as included in the Fee. Additional revisions will be billed at the hourly rate specified in the Notes.

Termination & Kill Fee

Termination for Convenience: Either party may terminate this Agreement upon days' written notice. If Client terminates after work has commenced, Client will pay a kill fee equal to plus reimbursement of pre-approved expenses and work completed to date.

Warranties, Representations & Indemnity

Creator represents and warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable law. Each party agrees to defend, indemnify and hold harmless the other party from third-party claims arising from its breach of this Agreement, gross negligence, or willful misconduct.

Confidentiality

The parties agree to protect confidential information disclosed in connection with the Campaign. Confidential information shall not be used except to perform obligations under this Agreement and shall not be disclosed to third parties without prior written consent, except as required by law.
