FTC Disclosure & Compliance

Agency/Creator agrees to comply with all applicable advertising and endorsement disclosure laws and regulations and to make clear, conspicuous disclosure of any material connections between Agency/Creator and Brand in all paid and organic content created for this Campaign. Agency/Creator certifies that all sponsored posts will include a prominent disclosure that is readily apparent to a reasonable viewer.

Agency/Creator certifies that disclosures will be included in both feed and story formats where applicable, and that any claims regarding product benefits will be substantiated by competent and reliable evidence upon request.

Termination

Termination for Convenience: Either party may terminate this Campaign Menu upon days' prior written notice. Termination does not relieve Brand of payment for deliverables accepted or work in progress. If Brand terminates after Agency/Creator has commenced production, Brand shall pay a kill fee equal to of the unpaid balance.

Termination for Cause: Either party may terminate immediately upon material breach by the other party that is not cured within days after written notice. In the event of termination for cause by Brand for Agency/Creator's failure to perform, Agency/Creator shall refund unearned fees for undelivered items.

Confidentiality & Non-Disclosure

Representations, Warranties & Indemnity

Each party represents and warrants that it has the full power and authority to enter into this Campaign Menu and to perform its obligations. Agency/Creator represents that deliverables will not infringe third-party intellectual property rights. Agency/Creator will indemnify, defend and hold harmless Brand from and against any third-party claims arising from Agency/Creator's breach of representations or unauthorized use of third-party content, except to the extent such claim arises from Brand-provided materials.

Limitation of Liability: Except for willful misconduct or gross negligence, neither party's liability for direct damages shall exceed the total fees actually paid under the Campaign Menu with respect to the specific deliverable at issue. Neither party shall be liable for consequential, incidental, or punitive damages.

Creative Review: Unless otherwise agreed, Brand shall provide written approvals or reasonable change requests within business days of receiving materials. Failure to respond within that period shall be deemed approval.
