Termination

Warranties, Indemnity & Liability

Agency warrants that Deliverables will not infringe third-party IP rights and will comply with applicable laws. Each party shall indemnify the other for third-party claims arising from its breach. Except for willful misconduct or gross negligence, neither party's aggregate liability shall exceed the total fees paid under this Agreement.

Miscellaneous Terms

Assignment: Neither party may assign this Agreement without the other party's prior written consent, except to a successor in interest to substantially all of the assigning party's business.

Governing Law: This Agreement shall be governed by the laws of the state of without regard to conflict of law principles.
