Recitals

WHEREAS, the parties entered into an original Marketing Campaign Agreement and wish to renew and amend certain terms for the campaign identified below; and WHEREAS, this Renewal supplements and, where inconsistent, amends the original agreement as set forth herein. All other terms of the original agreement remain in full force and effect unless expressly modified by this Renewal.

Compensation & Payment

Usage Rights & Intellectual Property

Agency hereby grants Brand a non-exclusive/exclusive (select applicable) license to use the Deliverables for the Territory and Term specified below, subject to full payment. Unless otherwise agreed in writing, Agency retains ownership of Agency's pre-existing intellectual property and moral rights.

Upon full payment, Agency will transfer all transferable rights in the final Deliverables to Brand as specified above.

FTC Disclosure Compliance

Agency represents and warrants that all endorsements, sponsored content, and paid placements delivered under this Renewal will be clearly and conspicuously disclosed in compliance with applicable advertising and consumer protection laws and regulations. Agency shall provide sample disclosure language where required and submit copy for Brand approval prior to posting.

Agency confirms it will include required disclosures on each applicable Deliverable and indemnify Brand for failures to disclose as described in the Indemnity clause.

Termination & Kill Fee

Either party may terminate this Renewal upon written notice to the other party. Termination for convenience requires days' prior notice. If Brand terminates the Renewal without cause after Agency has commenced work on scheduled Deliverables, Brand shall pay a kill fee equal to or the pro rata portion of fees for work performed to date, whichever is greater.

Representations, Warranties & Indemnity

Each party represents that it has authority to enter into this Renewal. Agency warrants that Deliverables will be original to the Agency, will not infringe third-party rights, and will comply with applicable laws. Agency agrees to indemnify and hold Brand harmless from third-party claims arising from Agency's breach of these warranties, except to the extent caused by Brand's instructions or materials.

Except for breaches of intellectual property ownership or willful misconduct, neither party shall be liable to the other for incidental, consequential, or punitive damages. The parties' aggregate liability for claims arising from this Renewal shall not exceed the total fees paid under this Renewal.

Confidentiality

Each party shall treat as confidential all non-public information disclosed in connection with the Renewal and use such information only to perform obligations under the Renewal. Confidentiality obligations survive termination for a period of two (2) years.

This Renewal constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior renewals and amendments relating to the Renewal period. Any amendment to this Renewal must be in writing and signed by authorized representatives of both parties.
