Usage Rights, IP & Ownership

Creator hereby grants Brand a non-exclusive/exclusive (select below) license to use the Deliverables as set forth herein. The scope, territory, and duration are specified below.

Ownership: Unless otherwise agreed in writing, Creator retains ownership of pre-existing materials and underlying know-how. Termination & Kill Fee

Either party may terminate this Setup upon written notice. Termination will be effective after the required notice period unless otherwise waived in writing. Termination does not relieve Brand of payment obligations for Deliverables completed and accepted prior to termination.

Confidentiality, Warranties & Indemnity

Confidential information exchanged in connection with this Setup shall be held in confidence for a period specified below and used solely for performance under this Setup. Creator warrants that all Deliverables will be original and will not infringe third-party rights. Each party agrees to indemnify the other from third-party claims arising from breach of representations or misuse of materials.

This Setup constitutes the entire agreement between the parties with respect to the Campaign. Amendments must be in writing and signed by both parties.
