Usage Rights & Intellectual Property

License Grant: Agency grants Brand a license to use the final deliverables as described below for the Territory and Duration specified. License is subject to full payment and compliance with this SOP.

Ownership: Pre-existing intellectual property remains the property of the originating party. New creative assets produced pursuant to this SOP shall be owned by unless otherwise agreed in writing.

Confidentiality & Data Protection

Each party shall treat the other party's non-public materials and data as confidential and shall not disclose such materials except as required by law. Data handling shall comply with applicable privacy laws and the parties' internal policies.

FTC Disclosure Compliance

For influencer or creator content, disclosures that accurately describe the material connection between Brand and Creator are required. Agency agrees to ensure that all sponsored content includes clear, conspicuous disclosure in accordance with applicable advertising standards.

Exclusivity

Termination

Either party may terminate this SOP on written notice to the other. Termination shall not relieve the Brand of its obligation to pay for all work performed prior to termination and any applicable kill fee.

Indemnification & Insurance

Each party shall indemnify the other against third-party claims arising from its breach of representations, misuse of IP, or gross negligence. Agency shall maintain insurance as specified below and provide proof upon request.

Amendment & Governing Law

This SOP may be amended only by written agreement signed by authorized representatives of both parties. The parties agree that disputes arising hereunder shall be governed by the laws of the jurisdiction specified below.
