MARKETING CAMPAIGN VIDEO AGREEMENT

This Agreement is entered into by and between:

Recitals

Brand desires to commission Creator to produce a marketing campaign video and Creator has the expertise to produce such content under the terms set forth below. The parties agree as follows.

Deliverables

The Creator shall deliver the following final deliverables in accordance with the schedule and format requirements below. Each Deliverable must comply with acceptance criteria and be free of defects in workmanship.

Schedule; Approval; Revisions

Creator shall deliver drafts and final materials in accordance with the schedule below. Brand shall review and approve or provide consolidated feedback within the stated review period. Failure to provide timely feedback may delay the schedule but shall not relieve Brand of payment obligations for accepted deliverables.

Compensation & Expenses

Creator shall be responsible for standard production costs unless Brand has expressly agreed in advance in writing to reimburse specific documented expenses. Reimbursable expenses require prior written approval by Brand.

Usage Rights; Ownership

Creator hereby grants Brand the following license in the Final Deliverables subject to the terms below. The parties acknowledge exceptions for pre-existing materials and third-party elements as set forth in this Agreement.

Unless otherwise agreed, Creator retains ownership of raw footage and masters but grants Brand a license to request and use raw materials only upon payment of a mutually agreed fee. Any assignment of raw footage must be in writing.

Representations, Warranties & Compliance

Creator represents and warrants that: (a) the Deliverables are original to Creator or properly licensed; (b) use of the Deliverables will not infringe third-party rights; (c) Creator has obtained all releases required for persons, locations, music and third-party materials; and (d) all promotional statements and claims included are substantiated. Brand represents that any materials provided to Creator do not infringe third-party rights.

Creator shall comply with applicable advertising and influencer disclosure rules and shall make clear, conspicuous disclosures of the Brand relationship in all paid or sponsored posts in the manner required by law. Creator shall obtain Brand approval of any disclosure language where practical prior to posting.

Confidentiality

Each party shall keep confidential any non-public business or technical information disclosed during the engagement and shall not disclose such information except as required by law or with the disclosing party's prior written consent. Confidentiality obligations survive termination for three years unless otherwise agreed.

Exclusivity

To the extent applicable, Creator shall not enter into substantially similar promotional arrangements with direct competitors of Brand for the duration specified below. If the parties agree to exclusivity, compensation and the restricted categories must be set forth here.

Termination; Kill Fee

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period. Brand may terminate for convenience upon written notice to Creator, subject to payment of a mutually agreed kill fee as set forth below.

Indemnification & Liability

Each party agrees to indemnify and hold harmless the other from third-party claims arising from its breach of representations, warranties, or obligations under this Agreement. Except for willful misconduct or gross negligence, neither party's liability shall exceed the total fees paid under this Agreement.

Insurance & Releases

Creator shall maintain appropriate production insurance where applicable and obtain releases from talent, locations and owners of third-party materials. Creator will provide certificates of insurance upon Brand request prior to production.

Third-Party Materials; Licenses

Creator shall disclose any third-party materials (including music or stock footage) used in the Deliverables and shall secure licenses for Brand's intended uses. Any additional licensing costs are Brand's responsibility only if pre-approved in writing.

Governing Law; Dispute Resolution

This Agreement is governed by the laws of the state specified below without regard to conflict of laws principles. Parties will attempt to resolve disputes in good faith and, if unresolved, submit to binding arbitration in the specified jurisdiction unless otherwise mutually agreed in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes prior proposals and communications. Amendments must be in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
