This Marketing Services Agreement (the Agreement) is entered into between:

WHEREAS Brand / Client desires to retain Agency / Creator to develop and publish promotional content for the Campaign described below; and WHEREAS Agency / Creator represents that it has the experience and capability to provide the services set forth in this Agreement. The parties agree as follows.

Deliverables and Schedule

Agency / Creator will produce the following deliverables in accordance with the Acceptance Criteria below.

Compensation and Payment

Brand shall pay Agency the fees set forth below in consideration for services and deliverables rendered under this Agreement.

All payments are due in U.S. dollars. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Brand is responsible for any agreed reimbursable expenses; such expenses require prior written approval.

Usage Rights and Intellectual Property

Upon full payment, Agency hereby grants Brand the following license in the Deliverables:

Notwithstanding the license granted above, Agency retains moral rights and the right to use Deliverables in its portfolio and promotional materials unless otherwise waived in writing.

FTC Disclosure Compliance

Agency / Creator shall comply with all applicable advertising and endorsement laws, including obligations to make clear and conspicuous disclosures of material connections between Brand and Agency in all sponsored content. Agency will provide disclosure language for each Deliverable where required.

Exclusivity

Brand may require exclusivity for the Campaign as described below. If exclusivity is selected, Agency agrees to the limited restrictions stated.

Termination and Kill Fee

Either party may terminate this Agreement upon written notice. Termination and compensation obligations are set forth below.

If Brand terminates without material breach by Agency after Agency has commenced work, Brand shall pay a kill fee equal to the amount stated above to compensate Agency for time and unrecoverable costs.

Representations, Warranties and Indemnity

Each party represents and warrants that it has the right and authority to enter into this Agreement. Agency warrants that Deliverables will be original or properly licensed and will not infringe third-party rights. Brand will indemnify and hold Agency harmless for Brand-provided materials and instructions. Agency will indemnify and hold Brand harmless against claims arising from Agency's breach of its warranties.

Limitation of Liability and Insurance

Except for willful misconduct or gross negligence, neither party will be liable to the other for indirect, incidental, consequential, or punitive damages. Agency shall maintain commercially reasonable liability insurance during the Term and upon request provide proof of such insurance.

Confidentiality

Each party will keep confidential and not disclose the other party's Confidential Information except as required to perform under this Agreement. Confidential Information does not include information that is publicly available through no fault of the receiving party.

Governing Law and Dispute Resolution

This Agreement will be governed by the laws of the state specified below. The parties will first attempt to resolve disputes through good faith negotiation and, if unsuccessful, through binding arbitration as set forth herein.

Miscellaneous

Amendments to this Agreement must be in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
