What the Marketing Capital Campaign Contract Covers

A Marketing Capital Campaign Contract is a written agreement that defines the relationship between an organization (frequently a nonprofit or institution) and a marketing or fundraising services provider engaged to plan, execute, and manage a capital campaign or large-scale marketing initiative. The contract records scope, deliverables, campaign budget, payment terms, intellectual property, reporting requirements, performance metrics, confidentiality, and termination rights. It creates enforceable obligations for campaign milestones, donor communications, and financial handling, and it clarifies who owns creative assets and campaign data after completion.

Why a Formal Contract Matters for Campaigns

A clear written contract reduces ambiguity about services, budgets, and donor stewardship, and supports enforceability under the ESIGN Act (15 U.S.C. §7001) and state UETA frameworks. It protects parties by documenting obligations, remedies, and record retention obligations while enabling lawful electronic execution.

Why a Formal Contract Matters for Campaigns

Typical Parties and Stakeholders

Organizations and vendors that commonly use this contract include fundraising teams, marketing agencies, and institutional development offices.

  • Nonprofit development offices and foundations managing capital campaigns and donor engagement programs.
  • Marketing and fundraising agencies contracted to design campaign strategy, creative, and media buys.
  • Institutional procurement or legal teams reviewing vendor terms and compliance requirements.

The contract helps align expectations across procurement, legal, finance, and campaign leadership so deliverables, donor reporting, and payments are clear.

Who Signs and Why

Executive Director

Signs on behalf of the organization to accept campaign scope, budget, and reporting obligations. Responsible for donor stewardship, legal compliance, and approving financial disbursements tied to the contract; typically authorized by board policies.

Agency Principal

Signs to accept deliverables, timelines, and payment terms. Responsible for subcontractor management, campaign performance metrics, and protecting intellectual property and creative assets under the agreement.

Core Sections Every Contract Should Include

A professional Marketing Capital Campaign Contract should be organized around a few core elements so responsibilities, payments, and metrics are explicit and verifiable.

Legal names and contact details for all contracting entities, including billing address and authorized signatory contact information to ensure correct attribution and enforceability.

Scope of Work

Detailed description of services, campaign phases, deliverables, acceptance criteria, and any excluded tasks to avoid scope creep and disputes during implementation.

Budget and Payments

Itemized campaign budget, payment schedule, invoicing instructions, and terms for reimbursable expenses, late fees, and holdbacks tied to milestone acceptance.

Performance Metrics

KPIs, reporting cadence, approval process for creative assets, and remedies or credits if agreed performance thresholds are not met.

Intellectual Property

Ownership, license grants, and usage rights for creative work, donor lists, and campaign data produced during and after the engagement.

Termination

Grounds for termination, notice periods, cure periods, wind-down responsibilities, and final accounting for work completed and funds disbursed.
