MARKETING CARBON OFFSET AGREEMENT

This Marketing Carbon Offset Agreement (the Agreement) is made effective as of by and between:

Recitals and Purpose

WHEREAS, Brand desires to engage Agency to plan, produce and publish marketing materials promoting Brand's sustainability efforts and to procure carbon offsets to mitigate greenhouse gas emissions associated with the Campaign; and

WHEREAS, Agency represents that it has the capability to produce the Deliverables set forth below and to purchase verifiable carbon offsets in accordance with the verification standard selected by the parties;

Deliverables and Schedule

Agency shall produce the following Deliverables in accordance with the schedule below. All deadlines are material.

Carbon Offset Specifications

Agency shall procure carbon offsets on behalf of Brand in accordance with the following specifications. All offsets purchased under this Agreement shall be measured in metric tonnes of CO2-equivalent (tCO2e) and shall be retired on a recognized registry as indicated below.

Compensation and Payment

Brand will pay Agency in accordance with the following fees and schedule. Fees cover creative services, production, and procurement/administration of offsets as expressly stated.

Usage Rights and Intellectual Property

Agency hereby grants Brand a non-exclusive / exclusive (select by agreement) license to use the Deliverables as described below. Agency retains ownership of Agency pre-existing materials and any general know-how used to create Deliverables.

FTC Disclosure Compliance

Agency shall ensure that all paid content and communications include clear, conspicuous, and accurate disclosures as required by applicable advertising regulations. Disclosures shall identify the Brand as the sponsoring party and shall be displayed in the same channels and formats as the Deliverables.

Exclusivity

Term, Termination and Kill Fee

This Agreement commences on the Effective Date and continues until the Campaign End Date unless earlier terminated in accordance with this Section. Either party may terminate for material breach if the other party fails to cure within the notice period below.

Representations, Warranties and Certifications

Each party represents and warrants that it has full power and authority to enter into this Agreement. Agency specifically warrants that offsets purchased shall be accurately described, not previously retired, and shall be retired on the registry identified above; Brand acknowledges that market and registry processes may affect timing.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising from the indemnifying party's breach, negligence, willful misconduct, or misrepresentations. Except for indemnification for third-party claims and breaches of confidentiality, neither party's liability shall exceed the total fees paid under this Agreement.

Reporting, Audit and Verification

Confidentiality and Publicity

Neither party shall disclose the other's confidential information except as required to perform the Agreement or as required by law. Brand and Agency may agree on joint publicity regarding the Campaign and offset procurement; any press release or joint statement shall require mutual prior written approval.

Governing Law and Dispute Resolution

Parties agree that disputes shall be resolved first through good faith negotiation and then, if unresolved, by binding arbitration in the chosen jurisdiction unless otherwise agreed in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the Campaign and supersedes prior agreements. Amendments must be in writing and signed by both parties. If any provision is unenforceable, the remainder will remain in effect.
