Limitation of Liability

Except for breach of confidentiality or indemnity obligations, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party for any claim arising out of this Proposal shall not exceed the total fees paid to Agency under this Proposal in the six months preceding the claim.

Either party may terminate this Proposal on days' written notice. If Client terminates without cause after work has commenced, Client agrees to pay a kill fee equal to the greater of Agency's non-cancellable third-party commitments plus out-of-pocket costs, or of total fee.
