MARKETING CLIENT SEARCH CONTRACT

Parties and Effective Date

This Marketing Client Search Contract (the "Agreement") is entered into between:

Engagement: The Agency will perform client search services on behalf of the Client to identify, screen and introduce potential clients, prospects, or accounts (the "Prospects") consistent with the campaign objectives and criteria below.

Deliverables and Performance

Deliverables: The Agency will deliver the following items and services as part of the Client Search:

Compensation and Expenses

In consideration for the Agency's services, Client agrees to pay the fees and reimbursements set forth below.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum permitted by applicable law.

Usage Rights and Intellectual Property

Ownership: Unless otherwise agreed in writing, the Client will own final deliverables created specifically for Client and paid in full. Agency retains ownership of pre-existing materials, methodologies, lists and prospecting tools used to produce results.

Compliance and Disclosures

The Agency will comply with applicable advertising, privacy and endorsement laws and regulations. Agency shall require that any public-facing content or outreach that could be perceived as an endorsement include clear and conspicuous disclosure consistent with applicable endorsement guidance.

Agency and Client acknowledge and agree to comply with all required disclosure obligations for paid introductions, endorsements, and sponsored communications.

Exclusivity and Non-Solicitation

Exclusivity (select one):

Exclusive engagement for the defined territory and objectives
Non-exclusive engagement; Client may engage others

Non-Solicitation: For the term of this Agreement and for 12 months following its termination, neither party shall solicit for hire the other party's personnel or contractors who were directly engaged on the Services without written consent or agreed compensation.

Term, Termination and Kill Fee

Term: This Agreement begins on the Effective Date and continues for the term set forth below unless earlier terminated in accordance with this section.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within 15 days after receipt of written notice of such breach.

Confidentiality

Each party shall treat as confidential and not disclose to any third party the other party's Confidential Information disclosed in connection with this Agreement. Confidential Information excludes information that is or becomes publicly available other than by breach of this Agreement, or that is independently developed without use of the other party's Confidential Information.

Confidentiality Obligations shall survive termination for a period of three (3) years.

Representations, Warranties, Indemnity and Liability

Each party represents that it has full power and authority to enter into this Agreement. Agency represents that it will substantively perform services in a professional manner consistent with industry standards.

Indemnity: Each party shall indemnify, defend and hold harmless the other party from any third-party claims arising from the indemnifying party's gross negligence, willful misconduct, or breach of representations and warranties.

Limitation of Liability: Except for liability arising from willful misconduct or a party's indemnity obligations, neither party's aggregate liability shall exceed the total amounts paid or payable by Client to Agency under this Agreement in the twelve (12) months preceding the claim.

Reporting and Records

Agency is an independent contractor. Agency is responsible for all taxes, withholdings and other statutory, regulatory or contractual obligations of an employer or contractor.

Governing Law and Dispute Resolution

Disputes arising under this Agreement shall be resolved by negotiation between the parties in good faith, and if unresolved, by binding arbitration in the agreed governing jurisdiction unless the parties mutually agree to litigate.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions and agreements concerning the subject matter herein. Amendments must be in writing and signed by authorized representatives of both parties.
