MARKETING COLLABORATION AGREEMENT

WHEREAS, Brand desires to engage Creator to develop, produce and deliver marketing content in connection with the Campaign described below; and

WHEREAS, Creator represents that Creator has the experience, personnel and capability to perform the services and grant the rights set forth in this Agreement;

Compensation and Payment

Brand shall pay Creator the total fee set forth below in exchange for the Deliverables and rights granted herein. Fees are exclusive of applicable taxes unless otherwise stated.

Usage Rights and Intellectual Property

Creator hereby grants to Brand a non-exclusive/exclusive license (select applicable) to use, reproduce and display the Deliverables as described below. The parties may specify ownership of underlying raw footage and final assets.

Creator retains ownership of Creator's preexisting materials and underlying intellectual property except as expressly assigned in this Agreement. Any assignment of copyright or exclusive rights must be set forth below.

Sublicensing:   

FTC Disclosure and Compliance

Creator shall comply with all applicable advertising laws, rules and guidance governing endorsements and disclosures. Creator agrees to make clear and conspicuous disclosures of the material connection between Creator and Brand in each paid post in accordance with legal requirements.

Certification: Creator certifies that Creator will include required disclosures on each Deliverable and shall provide proof of disclosure placement upon Brand's request.

Exclusivity

During the Term of this Agreement, Creator shall not promote or publish content for competing brands in the same product category as specified below without Brand's prior written consent.

Approval, Revisions and Acceptance

All Deliverables shall be submitted to Brand for review. Brand shall have a reasonable period to request revisions. Creator shall provide the following number of revision rounds:

Termination and Kill Fee

Either party may terminate this Agreement for convenience upon providing prior written notice to the other party as set forth below. Termination for material breach shall be effective upon failure to cure within the cure period.

Confidentiality

Representations, Warranties and Indemnification

Each party represents and warrants that it has the right and authority to enter into this Agreement. Creator represents that the Deliverables will be original and will not infringe third-party rights. Creator shall indemnify and hold Brand harmless from claims arising out of Creator's breach of representations, including intellectual property claims, except to the extent resulting from Brand materials or directions.

Limitation of Liability, Taxes and Independent Contractor

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES. Creator is an independent contractor and is responsible for all taxes and benefits applicable to Creator and Creator's personnel.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Amendments must be in writing and signed by both parties.
