FTC Disclosure Compliance

The Agency/Creator shall comply with all applicable advertising and endorsement disclosure laws and guidelines. Creator affirms that any paid or sponsored content will include clear, conspicuous disclosures that the content is sponsored, in accordance with applicable standards.

Creator will include required disclosure language on each sponsored post and provide evidence of disclosure upon request.

Compliance Acknowledgement: Agency/Creator certifies compliance with disclosure requirements.

Confidentiality & Data Protection

Each party shall preserve the confidentiality of Confidential Information disclosed under this Plan and shall not use such information except to perform obligations hereunder. Confidential Information excludes information that is publicly known or rightfully received from a third party without restriction.

Termination

Either party may terminate this Plan for convenience upon days' prior written notice. On termination, Brand shall pay Agency for all work performed and approved expenses through the effective termination date.

Change Control

Indemnity, Liability & Governing Law

Indemnity: Each party shall indemnify and hold harmless the other from third-party claims arising from its gross negligence, willful misconduct, or material breach of representations contained in this Plan.

Limitation of Liability: Except for claims arising from willful misconduct or indemnity obligations, neither party's aggregate liability for direct damages shall exceed the total fees paid under this Plan in the twelve (12) months preceding the claim.
