Agency grants Brand a license to use the approved deliverables as set forth below. Unless otherwise specified in writing, license rights are limited to the Territory and Duration defined herein. Any additional uses or sublicenses require prior written consent and may require additional fees.

FTC DISCLOSURE & COMPLIANCE

Both parties acknowledge obligations under applicable advertising and endorsement laws and regulations. Agency will include clear and conspicuous disclosure language where applicable and will provide disclosure copy for Brand review prior to publication.

EXCLUSIVITY & NON-SOLICITATION

If exclusivity is required by Brand for the campaign period or specified channels, the terms and any additional consideration must be set out below.

TERM & TERMINATION

Either party may terminate this Plan as set forth below. Termination does not affect obligations accrued prior to termination, including payment for accepted work. For cause termination may be immediate if a material breach is not cured within the cure period.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Agency retains ownership of pre-existing materials and underlying tools, and Brand receives the license described above to the final approved deliverables. Any transfer of ownership must be expressly documented and may require additional compensation.

CONFIDENTIALITY

INDEMNIFICATION & LIABILITY

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of its breach of this Plan, negligence, willful misconduct, or infringement of third-party rights. Liability for direct damages shall be limited to the total fees paid for the campaign; neither party shall be liable for incidental, consequential, punitive, or special damages except as required by law.
