Confidential Information

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by either party, whether in writing, orally or by inspection, including but not limited to: campaign strategies, creative concepts, mockups, media plans, pricing and fee structures, internal analytics and reporting, customer and prospect lists, business forecasts, trade secrets, technical data, and financial terms. Confidential Information also includes third-party information that a disclosing party is obligated to keep confidential.

Examples of Confidential Information

The following shall not be Confidential Information: information that (a) is or becomes generally available to the public through no wrongful act of the receiving party; (b) was known to the receiving party without restriction prior to disclosure as demonstrated by written records; (c) is rightfully received from a third party without restriction and without breach of an obligation of confidentiality; or (d) is independently developed by the receiving party without use of or reference to the disclosing party’s Confidential Information.

Obligations

The receiving party shall: (i) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than a reasonable standard of care; (ii) not disclose Confidential Information to any third party except as expressly permitted herein; and (iii) use Confidential Information solely for performance of obligations in connection with the Campaign described above.

Permitted disclosures: Confidential Information may be disclosed to employees, contractors, legal counsel, accountants, and other advisors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as this Agreement. The receiving party remains liable for any breach by such persons.

Acknowledgements

Receiving party will use Confidential Information only to perform its obligations under the Campaign.

Receiving party will ensure representatives are contractually bound to maintain confidentiality.

Term, Return and Survival

Confidentiality Term (number of years after disclosure):

Upon termination or upon written request, the receiving party shall promptly return or destroy all Confidential Information and certify destruction in writing within . Notwithstanding return or destruction, obligations under this Agreement that by their nature survive continue in effect for the Term stated above.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon written notice of days. If Brand terminates without cause after Agency has materially commenced Deliverables, Brand agrees to pay a kill fee equal to to compensate for work performed and non-recoverable costs.

Intellectual Property & Use

All pre-existing intellectual property of each party remains the sole property of that party. Confidential Information does not grant any license or other rights, except the limited right to use Confidential Information to perform obligations under the Campaign. Any use of the other party's marks, logos or copyrighted materials requires prior written permission.

FTC Disclosure Compliance

Agency/Creator acknowledges that all endorsements, sponsored content, or promotional posts must comply with applicable advertising and endorsement regulations including clear and conspicuous disclosure of material connections between the parties. Agency/Creator agrees to include required disclosures in all content and to provide advance notice to Brand of any disclosures used.

Remedies, Indemnity & Governing Law

The parties acknowledge that any unauthorized disclosure of Confidential Information may cause irreparable harm for which monetary damages may be inadequate; accordingly, the disclosing party shall be entitled to injunctive relief in addition to any other remedies available at law or in equity. The receiving party shall indemnify and hold harmless the disclosing party from and against all liabilities, losses and expenses arising from the receiving party's breach of this Agreement.
