MARKETING CONTRACT AGREEMENT

Usage Rights and Intellectual Property

Warranties, Indemnification and Liability

Each party represents and warrants that it has the authority to enter into this Agreement and that the performance will not violate any third-party agreement.

Indemnification: Agency will indemnify, defend and hold Brand harmless from third-party claims arising from Agency's breach of representations, infringement of third-party rights, or failure to obtain necessary rights. Brand will indemnify Agency for claims arising from Brand-provided materials or Brand's instructions.

Limitation of Liability: Except for a party's gross negligence, willful misconduct, or indemnification obligations, neither party's aggregate liability shall exceed the total fees paid by Brand under this Agreement. Liability cap: $

Force Majeure

Neither party will be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, pandemic, labor disputes, or governmental action. Affected party must notify the other promptly and use commercially reasonable efforts to mitigate.

Assignment and Subcontracting
