The Agency will ensure that all marketing, content, and calls-to-action comply with applicable advertising rules and disclosure requirements. Where applicable, the Agency and Client shall include clear and conspicuous disclosures for sponsored content delivered on the website and associated channels.

Warranties, Representations & Indemnification

Each party represents that it has authority to enter into this Proposal and will comply with applicable laws. The Agency warrants that deliverables will not knowingly infringe third-party intellectual property rights. The Client will indemnify and hold the Agency harmless from liabilities arising from Client-provided content and Client-directed uses outside the license granted herein. The Agency will indemnify the Client for Agency breaches of the warranty set forth above, subject to limitations in the Limitation of Liability section.
