Agency/Creator agrees to indemnify and hold Brand harmless from claims arising from breaches of the foregoing warranty. Neither party's liability for direct damages shall exceed the total fees paid under this agreement; neither party shall be liable for special, incidental or consequential damages.

Miscellaneous Provisions

Amendments to this Strategy must be in writing and signed by authorized representatives of both parties. This document constitutes the complete statement of work for the creative strategy and supersedes prior oral or written proposals specific to this campaign.
