Revisions, Approval & Acceptance

Agency will provide rounds of revisions per deliverable. Client shall provide approval or consolidated written comments within business days of receipt. Deliverables are deemed accepted if Client does not provide written rejection with specific defects within such period.

Compensation & Payment

Unless otherwise stated, invoices are payable within days of invoice. Late payments accrue interest at or the maximum permitted by law, whichever is lower.

Usage Rights & Intellectual Property

Subject to full payment by Client, Agency grants Client a license to use the final deliverables for the following territory and term.

Agency retains ownership of pre-existing materials and third-party licensed elements. Client will obtain ownership (or the agreed license) to final artwork upon payment; however Agency retains a limited license to display the work in its portfolio and promotional materials unless Client checks the box below to prohibit portfolio use.

FTC Disclosure & Advertising Compliance

Agency represents and warrants that all promotional materials and influencer or paid endorsement posts will include clear and conspicuous disclosure of material connections where required under applicable advertising laws and industry guidelines. Client and Agency agree to the following disclosure language to be used where applicable:

Exclusivity

If Client requires exclusivity, specify scope and compensation. Exclusivity applies only to the expressly stated products, channels and territories.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to termination. For termination by Client prior to completion, Client shall pay a kill fee equal to the greater of the unearned portion of fees and or percent of the total fee.

For breach, the non-breaching party shall provide written notice and the breaching party shall have days to cure; failure to cure permits termination for cause.

Warranties & Indemnities

Agency represents and warrants that: (a) the deliverables will be original to Agency or properly licensed; (b) to Agency's knowledge, use of the deliverables will not infringe third-party intellectual property rights; and (c) Agency will secure any necessary third-party releases for people or trademarks used in deliverables. Agency shall defend, indemnify and hold Client harmless from any third-party claim arising from a breach of these warranties, subject to Client's prompt notice and cooperation in defense.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party and shall not disclose or use such information except to perform under this Agreement. Confidentiality obligations survive termination for a period of months.

Miscellaneous

Governing law: The parties agree that this Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. Any dispute not resolved by negotiation shall be resolved by binding arbitration in the agreed venue unless otherwise mutually agreed in writing.

Each party represents that it has full power and authority to enter into this Agreement and that the person executing this Agreement has been duly authorized to bind the party.
