Unless otherwise agreed in writing, Agency retains ownership of pre-existing materials and tools. Brand receives ownership of final creatives only to the extent that rights are assigned above; Agency retains moral rights and technical means not necessary for Brand's use.

Data, Tracking & Reporting

Agency will implement agreed tracking and provide reports containing campaign performance metrics. Brand consents to collection and processing of campaign analytics as necessary to measure performance. Both parties shall comply with applicable data protection laws and shall not disclose personal data except as required to perform this Agreement.

FTC Disclosure & Compliance

Agency represents that all sponsored content and advertisements will comply with applicable advertising laws and industry guidelines, including clear and conspicuous disclosure of paid relationships where required.

Exclusivity

Unless checked below, Agency may represent and provide services to other clients, including competitors of Brand. If exclusivity is required, the parties shall specify the scope and duration below.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon written notice to the other party. Termination for cause may be immediate if the breaching party fails to cure within the specified period.

Representations, Warranties & Indemnity

Each party represents that it has the full power and authority to enter into this Agreement. Agency warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws. Agency will indemnify and defend Brand against third-party claims arising from Agency's breach of these warranties, subject to limitations set forth below.

Approvals & Change Requests

Brand shall review and provide approvals within the timeframes agreed in writing. Change requests affecting scope, fees or schedule will be documented as written change orders and subject to additional fees where applicable.

Confidentiality

Each party shall treat as confidential all non-public business information disclosed by the other party in connection with this Agreement and shall not disclose such information except to permitted recipients or as required by law.

Miscellaneous

This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes prior proposals and communications. Amendments must be in writing and signed by authorized representatives of both parties.
