MARKETING DESIGN AGREEMENT

Parties

This Marketing Design Agreement (the Agreement) is entered into by and between:

Recitals and Purpose

WHEREAS, Brand / Client desires to retain Agency / Designer to provide creative design and marketing services in connection with a marketing campaign; and WHEREAS, Agency / Designer has the professional skill, experience and personnel to provide such services on the terms set forth herein.

Campaign & Objectives

Scope of Services & Deliverables

Agency shall perform design, creative production, and related marketing services described below. Deliverables will be considered accepted upon Brand's written approval or failure to provide written comments within five (5) business days after submission, whichever occurs first.

Compensation & Expenses

Brand agrees to pay Agency the fees and reimburse allowable expenses as set forth below. Unless otherwise stated, amounts are exclusive of taxes.

Usage Rights & Intellectual Property

Upon full payment of amounts due, Agency grants Brand a non-exclusive, worldwide license to use the final deliverables for the purposes set forth in this Agreement, subject to the limitations below. Unless otherwise agreed in writing, Agency retains ownership of preliminary concepts, source files, and underlying intellectual property.


FTC Disclosure & Compliance

If deliverables include endorsements, influencer posts, or sponsored content, Brand and Agency shall comply with applicable advertising and disclosure laws and guidelines. Agency will include clear, conspicuous disclosure language on paid or sponsored content as required.

Exclusivity

Agency shall not perform substantially similar design and marketing services for direct competitors of Brand within the exclusive period described below, subject to exceptions agreed in writing.

Revisions, Approval, and Acceptance

Agency will provide the number of revision rounds specified below. Additional revisions will be billed at Agency's standard hourly rate unless otherwise agreed in writing. Brand shall provide consolidated feedback within five (5) business days of each submission.

Termination

Either party may terminate this Agreement upon written notice if the other party materially breaches and fails to cure within the notice period. On termination, Brand will pay Agency for all work performed and expenses incurred through the effective date of termination, plus the kill fee if applicable.

Representations, Warranties & Indemnity

Each party represents that it has authority to enter this Agreement. Agency warrants that deliverables will be original and will not knowingly infringe third-party rights. Brand warrants it has rights to provided materials. Each party agrees to indemnify and hold the other harmless from third-party claims arising from its breach of representations, gross negligence, or willful misconduct.

Limitations of Liability

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable for incidental, consequential, special, or punitive damages. Agency's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by Brand to Agency under this Agreement.

Confidentiality

Each party agrees to treat Confidential Information of the other as confidential and to use it only for performance of this Agreement. Confidential Information does not include information that is publicly available or independently developed without use of the other's Confidential Information.

Taxes & Compliance

Brand is responsible for any sales, use or other taxes imposed on payments to Agency. Agency is responsible for employment and income taxes for its personnel and contractors. Each party shall comply with applicable laws in performing its obligations.

Assignment & Subcontracting

Neither party may assign this Agreement without the other party's prior written consent, except to a successor in interest. Agency may engage subcontractors but remains responsible for their performance and compliance with this Agreement.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction specified below without regard to conflict of law principles. The parties agree to attempt to resolve disputes through good-faith negotiation before initiating litigation.

Notices

All notices shall be in writing and delivered to the contact information provided below.

Miscellaneous

This Agreement constitutes the entire understanding between the parties and supersedes prior agreements relating to the subject matter. Amendments must be in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
