Either party may terminate this Proposal upon days' written notice. If Brand/Client terminates without material breach by Agency/Creator, Brand/Client agrees to pay a kill fee calculated as:

Termination for material breach by either party will permit the non-breaching party to pursue available remedies. Upon termination, Agency/Creator will deliver completed work and will invoice for work performed to date. Payment for approved work is due within days.

Agency/Creator represents that deliverables will be original or properly licensed and that use of deliverables by Brand/Client in accordance with this Proposal will not infringe third-party rights. Brand/Client warrants it has authority to use trademarks, materials, and approvals it provides.

Except for willful misconduct or gross negligence, neither party's liability for direct damages arising under this Proposal shall exceed the total fees paid under this Proposal. Neither party will be liable for consequential or punitive damages.
