MARKETING DEVELOPMENT AGREEMENT

This Marketing Development Agreement (the "Agreement") is entered into as of (Effective Date) by and between:

Recitals and Purpose

Client desires to engage Agency to develop and execute marketing assets and campaigns described in this Agreement, and Agency has the expertise to perform such services under the terms set forth below.

Campaign Summary

Deliverables and Schedule

Agency shall provide the deliverables described below in accordance with the schedule and acceptance criteria set forth. Client approval shall not be unreasonably withheld.

Compensation and Expenses

Client shall pay Agency the fees set forth below in consideration of the services and deliverables. All fees are exclusive of applicable taxes unless otherwise stated.

Pre-approved out-of-pocket expenses reimbursed by Client upon receipt of documentation.

Usage Rights and Intellectual Property

Subject to full payment, Agency grants Client a non-exclusive/exclusive (select one) license to use the final deliverables as specified below. Unless expressly assigned, Agency retains ownership of underlying templates, methodologies, and pre-existing materials.

Upon payment in full, Agency assigns to Client all right, title and interest in the final, approved deliverables, except for Agency pre-existing intellectual property explicitly excluded below.

FTC Disclosure Compliance

Agency and any talent engaged by Agency shall comply with all applicable disclosure requirements for endorsements and sponsored content. Agency shall ensure clear and conspicuous disclosure of material connections in each placement where required. Failure to comply shall constitute a breach.

Approval, Revisions and Acceptance

Client shall provide consolidated written feedback within days of receipt of each submission. Agency will incorporate up to rounds of revisions at no additional cost; additional revisions billed at Agency's standard hourly rate.

Term, Termination and Kill Fee

This Agreement commences on the Effective Date and continues until completion of the services unless earlier terminated. Either party may terminate for convenience upon days' written notice. Termination for material breach is permitted if the breach is not cured within days after written notice.

If Client terminates for convenience prior to completion, Client shall pay Agency a kill fee equal to of unpaid fees plus documented, non-cancellable expenses.

Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter into this Agreement and to grant the rights herein. Agency warrants that deliverables will be original and will not infringe third-party rights. Client warrants it has authority to supply materials and approvals and will not request infringing content.

Indemnification and Liability

Each party shall indemnify the other against third-party claims arising from its breach of representations or willful misconduct. Except for willful misconduct or breach of confidentiality, neither party's liability shall exceed the total fees paid under this Agreement for the project giving rise to the claim.

Confidentiality

Parties will maintain the confidentiality of proprietary information disclosed under this Agreement for a period of years following termination, except as required by law.

Insurance

Agency shall maintain commercial general liability and professional liability insurance in amounts customary for comparable service providers and shall provide certificates upon request.

Compliance with Laws and Policies

Agency shall comply with all applicable laws, advertising standards, platform policies, and intellectual property requirements in performing services.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. Parties will first attempt to resolve disputes through good faith negotiation, then submit to binding arbitration if unresolved.

Miscellaneous

This Agreement, together with all attachments and approved statements of work, constitutes the entire agreement between the parties and supersedes prior agreements. Any amendment must be in writing and signed by authorized representatives.
