What the Marketing Digital Advertising Agreement Covers

A Marketing Digital Advertising Agreement is a written contract that sets the terms between an advertiser or agency and a client for online marketing services. It defines scope of work, deliverables, campaign channels, budgets, timelines, approval processes, reporting requirements, ownership of creative and data, payment and invoicing, warranties, indemnities, and termination rights. The agreement also allocates responsibility for compliance with advertising laws, consumer privacy rules, and data handling. When executed electronically, it can meet U.S. legal standards for electronic signatures under the ESIGN Act (15 U.S.C. ch. 96) and state UETA laws.

Why a Clear Agreement Matters for Digital Advertising

A precise agreement reduces disputes, clarifies performance expectations and payment terms, and documents consent for data use and targeting. It also creates enforceable obligations and helps parties meet legal standards for electronic execution under ESIGN (15 U.S.C. ch. 96) and UETA where applicable.

Why a Clear Agreement Matters for Digital Advertising

Who Typically Executes This Agreement

The Marketing Digital Advertising Agreement is used by a range of organizations that outsource, place, or manage paid and organic digital campaigns.

  • Agencies and consultants managing client ad buys, creative, and reporting across channels like search, display, and social media.
  • In-house marketing teams at mid-market and enterprise companies coordinating external vendors and platforms for paid campaigns.
  • Publishers and media buyers who need clear performance, payment, and attribution rules with advertisers and programmatic partners.

Signatories commonly include an authorized representative of the client, an authorized representative of the agency, and, where needed, third-party platform partners or media vendors.

Core Sections to Include in a Professional Agreement

A complete Marketing Digital Advertising Agreement organizes responsibilities, timelines, payment, and compliance obligations to reduce disputes and improve operational clarity.

Define metrics, reporting frequency, data sources, and attribution rules so both parties agree on success measurements.

Intellectual Property

Allocate ownership of creative, licenses for use, and rights to campaign assets after termination or expiration of the agreement.

Termination & Remedies

Specify termination triggers, notice periods, cure rights, refund or reconciliation procedures, and dispute resolution mechanisms.

Typical Workflow for Signing and Distributing the Agreement

  • Assign: Add signer emails, set signing order, and require authentication if needed.
  • Sign: Signers receive links, authenticate, review, and apply signatures.

Confirm supported file formats, integrations, and security features before selecting an e-signing platform for agreement execution.

  • File Formats: PDF and DOCX compatibility is essential
  • Integrations: CRM and cloud storage integration reduces manual uploads
  • Security: Strong encryption and audit trails are required

Look for platforms that support common integrations such as Salesforce, Microsoft 365, NetSuite, Google Workspace, Box, and Procore, and that preserve PDF/A-compliant signed documents for records retention.
