MARKETING DIGITAL CONTRACT

Creator represents and warrants that all posts, endorsements, and advertising will be truthful, will not be deceptive, and will comply with applicable advertising laws and guidelines including clear and conspicuous disclosure of material connections. Creator shall include prominent disclosure language or badges on paid, sponsored, or material connection content.

6. Exclusivity

Unless otherwise specified, Creator is free to enter into other engagements. If Brand requires exclusivity for the Campaign Period, parties must check the exclusivity box and set the terms below.

7. Approval, Revisions, and Acceptance

Creator shall submit content for Brand approval prior to publication. Brand shall review and provide consolidated feedback within the Review Period. Creator will make up to the Allowed Revisions at no additional charge as set forth below.

8. Termination and Kill Fee

Either party may terminate this Agreement upon written notice to the other party. Termination prior to completion of deliverables will be governed by the notice period and kill fee below.

9. Intellectual Property and Ownership

Creator represents that Creator owns or has valid licenses to all elements of the Deliverables and that use of the Deliverables by Brand in accordance with this Agreement will not infringe third-party rights. Ownership of intellectual property shall be as set forth below.


10. Representations, Warranties, and Indemnity

Creator warrants that Deliverables are original, accurate, and do not violate privacy, publicity, copyright, trademark or other third-party rights. Each party agrees to indemnify the other for breaches of these representations, subject to the Limitation of Liability below.

11. Confidentiality and Data Protection

Each party shall keep confidential proprietary information disclosed by the other and shall not disclose Brand materials or Creator materials except as required to perform under this Agreement. Data processing and consumer data must comply with applicable privacy laws.

12. Governing Law and Dispute Resolution

This Agreement will be governed by the laws of the jurisdiction specified below without regard to conflict of law principles. Parties shall attempt to resolve disputes in good faith before resorting to litigation.
