Both parties acknowledge that any paid, sponsored or discounted content must include clear and conspicuous disclosures consistent with applicable advertising regulations and platform policies. Agency shall: disclose Brand material connection in each published post and retain proof of disclosure.

Exclusivity

Exclusivity:

If exclusivity is requested and accepted, Brand shall pay the agreed exclusivity fee specified in the Offer. Any breach of exclusivity by Agency entitles Brand to equitable relief and damages.

Termination; Kill Fee

If Brand terminates without cause after Agency has commenced work, Brand shall pay the Kill Fee to compensate for work performed and commitments made by Agency.

Confidentiality; Representations; Indemnity

Confidential Information disclosed in connection with this Offer shall be used only for the Campaign and not disclosed to third parties except as required to perform obligations under this Offer. Each party represents that it has authority to enter this Offer and that its performance will not infringe third-party rights.

Indemnity: Each party agrees to indemnify, defend and hold harmless the other from third-party claims arising from that party's breach of this Offer, negligence, willful misconduct, or violations of law in performing its obligations.

Limitation of Liability; Governing Law

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or IP ownership, neither party will be liable for consequential, incidental, special or punitive damages. The parties agree that this Offer will be governed by the laws of:
