MARKETING E-COMMERCE AGREEMENT

This Marketing E-commerce Agreement (the Agreement) is entered into as of (Effective Date), by and between:







Recitals and Definitions

WHEREAS, Brand desires to engage Agency to create, manage and deliver marketing assets and e-commerce promotional activities described herein for the campaign titled ; and WHEREAS Agency has experience producing digital marketing, social media, and commerce assets for online retail.

For purposes of this Agreement: "Deliverables" means the content, creative assets, copy, data, and formats expressly described in Section titled Deliverables. "Campaign Period" begins on and ends on unless earlier terminated in accordance with this Agreement.

Campaign Description

Deliverables and Schedule

Agency will deliver the following items in accordance with the dates and specifications set forth below. Each Deliverable must meet the Acceptance Criteria specified.

Compensation & Expenses

Brand agrees to pay Agency the Total Fee of USD for the Deliverables described above, subject to the following payment schedule.

Agency shall obtain written approval from Brand prior to incurring any third-party expense in excess of USD. Approved out-of-pocket expenses will be invoiced and reimbursed within days of receipt.

Usage Rights and Intellectual Property

Upon full payment of the amounts due for a Deliverable, Agency grants Brand a perpetual, worldwide, royalty-free, transferable, sublicensable license to use the Deliverable in connection with Brand's e-commerce activities, including merchandising, advertising, and marketplace listings, subject to the limitations and retained rights described below.

Agency retains moral rights and underlying pre-existing materials and third-party materials unless otherwise assigned in writing. Any third-party components provided under license will be accompanied by documentation of rights granted to Brand.

Brand requires exclusivity for the campaign category during the Campaign Period.

FTC Disclosure and Compliance

Agency shall ensure all paid placements, influencer or sponsored content, and native advertisements include clear, conspicuous disclosures in compliance with applicable consumer protection rules and industry guidelines.

Agency affirms it will include required disclosures and provide Brand with samples of proposed disclosure language prior to publication.

Termination

Either Party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach is effective immediately if the breaching Party fails to cure within days after receipt of written notice specifying the breach.

Confidentiality, Warranties, and Indemnification

Each Party shall treat the other's confidential information as confidential and will not disclose such information except as required by law. Confidential information does not include information that is public, rightfully received from a third party, or independently developed.

Agency represents and warrants that Deliverables will be original works and will not infringe third-party intellectual property rights. Brand represents and warrants that it has the right to provide Agency with materials and approvals required for performance and that such materials do not infringe third-party rights.

Each Party shall indemnify, defend and hold harmless the other Party from third-party claims arising from the indemnifying Party's breach of representations, willful misconduct, or negligence. The indemnified Party shall provide prompt written notice of any claim and cooperate in the defense.

Except for indemnification obligations or gross negligence/willful misconduct, neither Party's aggregate liability to the other shall exceed USD.

Force Majeure; Notices; Governing Law

Neither Party will be liable for delays or failures due to causes beyond its reasonable control, including acts of God, labor disputes, governmental actions, or outages of third-party platforms. The affected Party shall notify the other and use reasonable efforts to mitigate the effect of such events.

Miscellaneous

This Agreement, including all Schedules and attachments, constitutes the entire agreement between the Parties regarding the subject matter and supersedes prior agreements. Any amendment must be in writing and signed by authorized representatives of both Parties. If any provision is held invalid, the remaining provisions will remain in effect.
