Usage Rights & Intellectual Property

Ownership of deliverables and license terms: The parties agree as follows. Client retains ownership of its pre-existing trademarks, logos and data; Agency retains ownership of its pre-existing tools, templates and methodologies. With respect to newly created creative materials produced under this Agreement, Agency hereby grants to Client a non-exclusive, worldwide, perpetual (unless otherwise specified), transferable license to use, reproduce and distribute the final deliverables for the purposes specified in this Agreement, subject to payment in full. Unless otherwise stated below, Agency assigns all copyright in custom creative deliverables to Client upon final payment.

Data, Lists & Privacy

Client warrants that any recipient list, data or personal information provided to Agency for use in the email blast: (a) was collected lawfully; (b) the Client has all necessary rights and permissions to permit Agency to send the email content; and (c) Client will maintain and provide suppression lists as required. Agency shall process such data only to perform its obligations and in accordance with applicable privacy and data protection requirements.

Compliance & Disclosures

Agency represents and warrants that all email content and recipient targeting shall comply with applicable anti-spam, consumer protection and advertising laws. Agency shall ensure that all promotional content contains clear and conspicuous disclosure of material connections and required endorsements when applicable. Client and Agency will cooperate to place required disclosures in subject lines and message bodies.

Exclusivity

During the exclusivity period set forth below, Agency will not perform substantially similar email marketing services for direct competitors of Client in the defined category. If applicable, specify scope:

Termination & Kill Fee

Either party may terminate this Agreement upon written notice to the other party. Termination for convenience by Client requires advance notice and may trigger a kill fee as set forth below. Termination for material breach permits immediate termination if breach remains uncured after the specified notice period.

Acceptance, Reporting & Metrics

Deliverables shall be deemed accepted if Client does not provide written objections within the approval turnaround set above. Agency will provide post-send reporting that includes opens, click-through rates, bounces, unsubscribes and deliverability statistics as applicable.

Representations; Indemnification; Liability

Each party represents that it has the full right, power and authority to enter into this Agreement. Client indemnifies Agency against claims arising from Client-provided content or recipient lists. Agency indemnifies Client against claims arising from Agency's breach of intellectual property rights or applicable laws in performing services. Except for willful misconduct and indemnified claims, the parties' aggregate liability under this Agreement shall not exceed the total fees paid for the services giving rise to the claim.

Change Orders

Any material changes to scope, timing or deliverables requested by Client will be documented in a written change order signed by both parties and may result in additional fees and adjusted schedules.

General Provisions

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes prior proposals and understandings. If any provision is held unenforceable, the remainder shall remain in full force. Governing law: .
