Exclusivity

Unless otherwise agreed in writing below, Brand may or may not require exclusivity for the campaign period specified.

Approval, Revisions & Acceptance

Brand will provide reasonably prompt feedback on all drafts. Agency will incorporate up to the number of rounds of revisions set forth below; additional revisions will be billed at Agency's standard hourly rate.

Termination & Kill Fee

Either party may terminate this Agreement upon written notice. If Brand terminates without cause after Agency has commenced work, Brand shall pay a kill fee as specified below.

Warranties, Indemnity & Liability

Agency warrants that it has the right to grant the licenses set forth, that content will not infringe third-party rights, and will comply with applicable laws. Each party shall indemnify the other for breaches of representation or intellectual property infringement. Liability for direct damages shall be limited to the total fees paid to Agency under this Agreement; neither party shall be liable for consequential or punitive damages.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the campaign. Amendments must be in writing and signed by authorized representatives. Notices shall be in writing and delivered to the addresses set forth above.
