Compensation and Payments

In consideration for the services and deliverables, Brand agrees to pay Creator as follows:

All payments are due pursuant to invoices submitted by Creator and are payable in accordance with the payment schedule above. Brand shall reimburse pre-approved out-of-pocket expenses when supported by receipts.

Usage Rights and Intellectual Property

Creator hereby grants Brand a non-exclusive / exclusive (select by checking applicable box) license to use the final deliverables as follows:

Ownership: Creator retains ownership of Creator's pre-existing materials and underlying rights. Unless otherwise specified in writing, Brand receives a license to use the final deliverables as set forth above; any transfer of copyright or assignment must be expressly documented and is effective only upon full payment of all fees due.

Compliance, Disclosures, and Exclusivity

FTC Disclosure: Creator shall conspicuously disclose the material connection between Creator and Brand in all sponsored posts and promotions, using clear, unambiguous language or platform-specific disclosure mechanisms. Creator acknowledges that failure to provide required disclosure may be a breach of this Agreement.

During the exclusivity period: , Creator shall not promote competing products or services specified as competing in writing by Brand.

Representations, Warranties, and Indemnity

Each party represents and warrants that it has full power to enter into this Agreement. Creator warrants that deliverables will be original, will not infringe third-party rights, and will comply with applicable laws and platform terms. Creator shall indemnify and hold harmless Brand from claims arising out of Creator's breach of the foregoing warranty, gross negligence, or willful misconduct. Brand shall indemnify Creator for claims arising from Brand materials provided to Creator that infringe third-party rights.

Confidentiality and Publicity

Confidential Information disclosed by one party to the other shall be used solely to perform obligations under this Agreement and shall not be disclosed to third parties except as required by law. Neither party shall issue a public announcement regarding the terms of this Agreement without the other party's prior written consent, except for required disclosures described in the FTC Disclosure section.

Termination; Cure; Kill Fee

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days' written notice. If Brand terminates other than for Creator's material breach after deliverables have commenced, Brand shall pay the kill fee set forth above. Termination shall not relieve Brand of its obligation to pay for accepted deliverables or reimbursable expenses incurred prior to termination.

Limitation of Liability; Insurance; Miscellaneous

Except for indemnification obligations and willful misconduct, neither party shall be liable for special, incidental, or consequential damages. Creator shall maintain general liability and media liability insurance in amounts reasonably requested by Brand.
