Agency affirms that all sponsored content will include clear and conspicuous disclosure of the commercial relationship with Brand in compliance with applicable advertising laws and regulations. Agency will use the disclosure language and placement reasonably requested by Brand so long as such requests are not materially inconsistent with applicable disclosure requirements.

Exclusivity & Conflicts

If an exclusivity term applies, Agency will not perform, promote, or endorse competing products or services specified below during the exclusivity period unless Brand provides prior written consent.

Termination

Either party may terminate this Agreement for convenience with prior written notice as set forth below. Termination for cause may be immediate if the breaching party fails to cure a material breach within the cure period.

Representations, Warranties & Indemnification

Agency represents that all content is original or properly licensed and does not infringe third-party rights. Agency will indemnify and defend Brand against third-party claims arising from Agency's breach of the foregoing representations, subject to the limitations below.

Brand shall provide approvals or consolidated feedback within the timeframes specified below. Revisions beyond the agreed number may incur additional fees.

Miscellaneous Provisions

This Proposal, upon execution by both parties, constitutes the entire agreement with respect to the subject matter and supersedes prior proposals or communications. Any amendment must be in writing and signed by authorized representatives of both parties.
