MARKETING EVENT DOCUMENT

This Marketing Event Agreement (the "Agreement") is entered into as of Effective Date: by and between Brand / Client and Agency / Creator as set forth below. COMPENSATION & PAYMENT

In consideration for the deliverables, Brand / Client shall pay Agency / Creator the fees and reimbursements set forth below under the payment schedule specified. Fees do not include applicable taxes unless expressly stated.

Reimbursable expenses (if any) shall be pre-approved in writing and invoiced separately. Late payments incur interest at a rate of 1.5% per month on overdue amounts.

USAGE RIGHTS & INTELLECTUAL PROPERTY

Subject to full payment, Agency / Creator grants Brand / Client a non-exclusive / exclusive license as indicated below to use the final deliverables for the Permitted Uses defined herein. Unless otherwise agreed in writing, underlying pre-existing materials and third-party content remain the property of their respective owners.

FTC DISCLOSURE & COMPLIANCE

Agency / Creator represents that all content, endorsements and promotional activity will comply with applicable advertising and disclosure laws, including clear and conspicuous disclosure of material connections and any paid promotion or gifted items. Brand / Client may require specific disclosure language for certain channels, which Agency / Creator agrees to include where required.

Agency / Creator acknowledges responsibility for required disclosures and agrees to follow Brand / Client disclosure instructions when provided in writing.

CONFIDENTIALITY

Each party shall keep confidential any non-public information designated as confidential by the disclosing party and shall not use such information except to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of two (2) years.

TERMINATION & KILL FEE

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. If Brand / Client terminates after Agency / Creator has commenced work but before final delivery, Brand / Client shall pay a kill fee equal to: representing work performed and non-cancellable commitments.

WARRANTIES, INDEMNITY & LIMITATION OF LIABILITY

Each party represents and warrants that it has the authority to enter this Agreement and that performance will not violate third‑party rights. Agency / Creator warrants that deliverables will not infringe third-party intellectual property rights. Agency / Creator shall indemnify and defend Brand / Client from third-party claims arising from Agency / Creator's breach or infringement. Except for indemnification obligations and willful misconduct, neither party's aggregate liability shall exceed the total fees paid under this Agreement.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior proposals and understandings. Amendments must be in writing and signed by authorized representatives of both parties. Governing law:
