Usage Rights and Intellectual Property

Termination

Limitation of Liability & Insurance

Neither party shall be liable for consequential, special, punitive or incidental damages. The aggregate liability of either party for any claim arising from this Agreement shall not exceed the total fees paid under this Agreement. Agency / Creator shall maintain commercial general liability and media liability insurance in commercially reasonable amounts and provide certificates of insurance upon request.

Confidentiality

Each party shall keep confidential non-public proprietary information disclosed in connection with this Agreement and shall not use such information except as necessary to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of two years.
