FTC Disclosure Compliance

Service Provider represents and warrants that any endorsements, influencer posts, or promotional statements made in connection with this engagement will comply with applicable disclosure laws and guidelines regarding paid promotion and material connections. Brand/Client may require pre-approval of disclosure language and placements.

Acknowledgement of FTC Compliance: Service Provider confirms understanding and will comply with disclosure obligations.

Termination and Kill Fee

Termination for Convenience: Either party may terminate this Agreement by providing days' prior written notice.

Termination for Cause: Either party may terminate immediately for material breach if the breach remains uncured for days after written notice.

Kill Fee upon Termination: If Client terminates without cause after Service Provider has commenced work, Client shall pay a kill fee of $ to cover time and non-cancellable commitments.

Insurance, Indemnity, and Liability

Insurance: Service Provider shall maintain at minimum commercial general liability insurance in the amount of $ and provide proof upon request.

Indemnification: Service Provider agrees to indemnify, defend, and hold harmless Client and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of Service Provider's negligent acts, willful misconduct, or material breach of this Agreement.

Limitation of Liability: Except for indemnification obligations or willful misconduct, neither party's liability shall exceed the total fees paid to Service Provider under this Agreement.

Confidentiality and Data

Data Collection and Privacy: Service Provider shall comply with applicable data protection laws and only collect, process, or retain personal data as necessary for performance. Any data sharing requires prior written consent of Client.

Force Majeure; Miscellaneous

Force Majeure: Neither party shall be liable for delays or failures due to causes beyond its reasonable control, including natural disasters, strikes, acts of government, or pandemics. The affected party shall give prompt notice and a reasonable period to perform.

Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws selected by the parties. Any dispute shall first be submitted to good faith negotiation and, if unresolved, to binding arbitration if elected by both parties.
