Agency warrants that all sponsored content, endorsements, or promotional materials created under this Agreement will include clear and conspicuous disclosure of the material connection between Brand and Agency in a manner compliant with applicable advertising regulations and industry guidance.

Exclusivity

Unless otherwise agreed in writing, Agency agrees not to provide substantially similar on-site or direct competitor promotion at the same Expo within the exclusivity scope selected above. If Brand elects exclusivity, the parties shall specify the scope and applicable fee below.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon providing the notice period set forth below. Termination for cause may be immediate where a material breach remains uncured after written notice and the cure period.

Representations, Warranties & Indemnity

Each party represents that it has authority to enter into this Agreement. Agency warrants that Deliverables will not infringe third-party rights and will comply with applicable laws. Agency agrees to indemnify and hold Brand harmless from any claim arising from Agency's breach of warranty, except to the extent caused by Brand materials or directions.

Limitation of Liability & Insurance

Neither party will be liable for incidental or consequential damages except for willful misconduct or gross negligence. Agency shall maintain commercial general liability and, where applicable, errors & omissions coverage and shall provide certificates upon request.

Confidentiality

Each party will maintain the confidentiality of proprietary information disclosed in connection with this Agreement and will not use such information except to perform obligations under this Agreement. Confidential information does not include information that is public or already known to the receiving party without restriction.

Force Majeure

Neither party will be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, government action, strikes, or other events of force majeure. Affected obligations will be suspended during the force majeure event.
