MARKETING FIRM AGREEMENT

This Marketing Firm Agreement (the Agreement) is entered into as of by and between:

Client desires to engage Agency to perform marketing and advertising services in connection with the campaign described below, and Agency represents that it has the expertise, personnel and resources necessary to provide such services under the terms and conditions set forth in this Agreement.

Compensation and Expenses

Client will pay Agency the fees and reimburse the expenses as set forth below. Unless otherwise agreed in writing, fees are exclusive of applicable taxes.

Usage Rights and Intellectual Property

Subject to payment in full of all amounts due, Agency hereby grants Client a non-exclusive/non-transferable license to use the Deliverables for the purposes set forth in this Agreement, except as otherwise provided below.

Ownership: Except for Agency pre-existing materials and third-party materials licensed to Agency, all Deliverables created specifically for Client under this Agreement will be owned by Client upon full payment. Agency retains the right to use general skills, know-how and non-confidential concepts incorporated into the Deliverables.

FTC Disclosure Compliance

Agency warrants that all influencer and sponsored content will comply with applicable endorsement and advertising disclosure laws and guidelines. Agency shall ensure that any creator disclosures are clear, conspicuous and compliant with applicable consumer protection standards.

Agency certifies compliance: Agency will ensure necessary disclosures appear in each paid placement or influencer post.

Term, Termination and Kill Fee

Term: This Agreement commences on the Effective Date and continues for the period described in the Campaign Details or until earlier terminated in accordance with this section.

Termination: Either party may terminate for convenience upon days' prior written notice. Termination for cause may be immediate upon material breach not cured within days after written notice.

Kill Fee: If Client terminates without cause after Agency has commenced substantial performance, Client shall pay a kill fee equal to: or the pro rata portion of fees earned to date, whichever is greater.

Confidentiality

Each party agrees to hold confidential and not to disclose Confidential Information of the other party except as required to perform this Agreement or as required by law. Confidential Information remains the property of the disclosing party.

Representations, Warranties and Indemnification

Each party represents that it has full right and authority to enter into this Agreement. Agency represents that Deliverables will not infringe third-party intellectual property rights and will comply with applicable laws. Agency will indemnify, defend and hold Client harmless from claims arising out of Agency's breach of such representations; Client will indemnify Agency for Client-supplied content and claims arising from Client's instructions.

Limitation of Liability

Except for willful misconduct or breach of confidentiality, neither party will be liable to the other for special, incidental, consequential or punitive damages. Aggregate liability for direct damages will not exceed the total fees paid to Agency under this Agreement in the twelve months preceding the claim.

Governing Law and Dispute Resolution

This Agreement will be governed by the laws of the state specified below. The parties agree to attempt to resolve disputes in good faith through negotiation and, if unresolved within 30 days, to submit to mediation prior to initiating litigation.
