MARKETING FLYER PRODUCTION AND DISTRIBUTION AGREEMENT

This Marketing Flyer Production and Distribution Agreement (the Agreement) is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to engage Service Provider to prepare, produce and distribute a marketing flyer describing Client's goods or services in accordance with the specifications and schedule set forth in this Agreement; and

WHEREAS, Service Provider possesses expertise, personnel and facilities to prepare artwork, copy and print or digitally distribute the marketing flyer; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the production, approval, delivery, distribution and ownership of the marketing flyer.

1. SCOPE OF WORK

Service Provider shall perform the services described below (the Services). Services include creative concept, copywriting, design, production, printing, and distribution as specifically set forth herein. Deliverables and specifications are identified in the following description.

2. PAYMENT TERMS

Client shall pay Service Provider for the Services and Deliverables as follows:

All amounts are payable in U.S. dollars. Invoices submitted by Service Provider shall be due and payable within days from invoice date unless otherwise specified in the payment schedule.

Late payments shall accrue interest at the lesser of (a) the maximum rate permitted by law, or (b) per month on the unpaid balance. Additionally, Service Provider may assess a late processing fee of .

3. TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated as provided herein, continues until the End Date.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for Services performed and Deliverables accepted through the effective date of termination, subject to any setoffs for defective work or other breaches.

4. CONFIDENTIALITY

Each party (Recipient) shall keep confidential and shall not disclose to any third party any non-public information of the other party (Discloser) disclosed in connection with this Agreement, including but not limited to marketing strategies, pricing, client lists, artwork and drafts, except as required by law or as necessary to perform the Services. Confidential information does not include information that is or becomes public through no breach by Recipient.

5. INTELLECTUAL PROPERTY

Ownership of materials created under this Agreement shall be allocated as follows. Unless the parties execute a separate written assignment, Service Provider reserves ownership of preliminary designs and non-final materials; final, approved flyer artwork and copy shall be

  Licensed to Client for specified uses only; Service Provider retains underlying ownership.

The parties may elect work-for-hire treatment by checking the box below. If neither box is checked, ownership will remain with Service Provider subject to Client's license for agreed uses.

6. APPROVALS; WARRANTIES; INDEMNITY

Service Provider warrants that Services will be performed in a professional manner and Deliverables will conform to the agreed specifications. Client warrants that all materials provided to Service Provider do not infringe third party intellectual property rights and that Client has the authority to authorize the use of such materials.

Each party shall indemnify and hold the other harmless from and against any third-party claims, losses, liabilities, and expenses arising out of that party's breach of representations, warranties or obligations under this Agreement, except to the extent caused by the indemnified party's own negligence or willful misconduct.

7. LIMITATION OF LIABILITY

Except for claims arising from willful misconduct, gross negligence or breaches of confidentiality or intellectual property indemnities, neither party shall be liable to the other for consequential, incidental, punitive or special damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid to Service Provider under this Agreement.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

10. MISCELLANEOUS

Notices required by this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
