Usage Rights & Intellectual Property

Upon full payment, Agency grants Client a nonexclusive, worldwide, transferable license to use, reproduce and display recordings and reports delivered under this Agreement for marketing, research and internal business purposes for a period of .

Agency retains ownership of background materials and methodologies developed independently of this Agreement. Client may not sublicense or sell raw participant-identifiable data without prior written permission by Agency and any required participant consent.

FTC Disclosure Compliance

Agency represents and warrants that it will secure all necessary participant disclosures consistent with applicable endorsement and disclosure standards for any research that may be published or used in marketing. Agency confirms:

Exclusivity

Client requests exclusivity for the product category described in campaign materials for a period of days beginning on the Effective Date. If exclusivity is granted, Agency shall not conduct materially similar focus groups for direct competitors of Client in the specified category during that period, subject to reasonable exceptions agreed in writing.

Termination & Cancellation

Either party may terminate this Agreement upon days' written notice. If Client cancels within 7 days of a scheduled session, Client will pay a kill fee equal to or actual non-cancellable costs, whichever is greater.

Confidentiality & Data Protection

Each party will treat as confidential all nonpublic business information disclosed in connection with this Agreement. Confidential information does not include information that is public without breach, independently developed or rightfully received from a third party. Confidentiality obligations survive termination for a period of months.

Agency shall obtain participant consent for recording and use of anonymized data and warrants that it will not provide Client with participant-identifiable data without express consent. Data retention period: months unless otherwise agreed.

Representations, Warranties & Indemnification

Each party represents that it has the authority to enter into this Agreement. Agency represents that it will obtain all participant consents and that its recruitment practices comply with applicable law. Each party agrees to indemnify the other for third-party claims arising from its breach of this Agreement or its gross negligence.

Limitation of Liability: Except for willful misconduct or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid under this Agreement.
