MARKETING FULL SERVICE AGREEMENT

This Marketing Full Service Agreement (the Agreement) is entered into effective as of by and between:

Deliverables

The Agency will deliver the following items in the formats, quantities, and by the delivery dates specified below. Each Deliverable must meet the written specifications agreed in writing or via signed change order.

All deliverables will be provided in production-ready file formats and will be subject to the acceptance procedures set forth in Section: Acceptance & Revision Process.

Compensation & Expenses

Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. If Client terminates without cause after Agency has begun work, Client will pay the agreed kill fee of in addition to amounts due for work performed to the termination date.

Change Orders; Acceptance & Revisions

Any material change to scope, schedule, or budget shall be documented in a written change order signed by authorized representatives of both parties. Deliverables will be subject to up to two rounds of reasonable revision; additional revisions will be billed at Agency's standard hourly rates unless otherwise agreed in writing.

Usage Rights & Intellectual Property

Upon full payment of all amounts due for a Deliverable, Agency hereby assigns to Client all right, title and interest in and to the final Deliverables expressly created for the Campaign (Final Deliverables), subject to the following:

(a) Agency retains ownership of Agency's pre-existing materials, underlying methodologies, templates, raw footage, source files, and proprietary tools (Pre-Existing Materials). Client receives a perpetual, worldwide, royalty-free, transferable license to use Final Deliverables in the Territory described below for the Duration described below, except that any use beyond the agreed scope (channels, formats, or territories) requires prior written license or additional fees.

Agency may retain limited rights to use Final Deliverables for its promotional portfolio and case studies, provided such use does not conflict with Client confidentiality or exclusivity obligations.

FTC Disclosure & Compliance

When Deliverables constitute sponsored content or endorsements, Agency and any contracted creators will ensure that all required disclosures are clear, conspicuous, and compliant with applicable advertising and consumer protection laws. Agency will provide Client with disclosure language for each Deliverable and will incorporate Client's mandatory claims only upon Client's confirmation of factual support.

Exclusivity

If Client requires exclusivity for the Agency or for contracted creators with respect to specific product categories, channels, or competitors, the parties shall state the scope and period of exclusivity below and any compensation for such exclusivity.

Confidentiality

Each party will keep confidential and not disclose the other party's Confidential Information, and will use such information only to perform under this Agreement. Confidential Information does not include information that is or becomes generally available to the public other than as a result of a breach of this Agreement, or information independently developed without use of the other party's Confidential Information.

Representations, Warranties & Indemnification

Each party represents that it has the right and authority to enter into this Agreement. Agency represents that the Deliverables will not knowingly infringe third-party intellectual property rights and will comply with applicable laws. Each party shall indemnify and hold the other harmless from third-party claims arising out of the indemnifying party's breach of its representations or negligent acts.

Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total Fees paid by Client to Agency under this Agreement.

Termination

This Agreement may be terminated by either party for material breach if the breaching party fails to cure within the notice and cure period below. Either party may terminate for convenience upon written notice and payment of the agreed kill fee where applicable.

Insurance & Compliance

Agency shall maintain commercially reasonable insurance coverage and provide certificates upon request. Agency shall comply with applicable privacy, advertising, and data protection laws in performance of Services.

Force Majeure; Governing Law

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control (force majeure). This Agreement shall be governed by the laws of the state identified below without regard to its choice-of-law rules.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice to the other in accordance with this Section.

Miscellaneous

This Agreement, together with any signed change orders and schedules, constitutes the entire agreement between the parties regarding the subject matter hereof. No amendment is effective unless made in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
