Warranties, Representations & Indemnification

Agency warrants that the Deliverables will be original and will not infringe third-party rights. Agency agrees to indemnify and hold Brand harmless from claims arising out of breach of these warranties, except to the extent caused by Brand materials or directions. Brand represents that any materials provided to Agency do not infringe third-party rights and will indemnify Agency for claims arising from Brand-provided materials.

Approval, Revisions & Acceptance

Brand shall provide approval or requested revisions within business days of submission. The number of complimentary revision rounds included is . Additional revisions will be billed at agreed rates.

Reporting & Metrics

Insurance & Liability

Each party shall maintain insurance appropriate to its obligations. Neither party shall be liable for incidental or consequential damages except in cases of willful misconduct or gross negligence.
