MARKETING GEOFENCING & RETARGETING ADS AGREEMENT

Usage Rights, IP & Ownership

Agency grants Brand a non-exclusive, worldwide, royalty-free license to use campaign creative produced under this Agreement for the Term specified below and solely for Brand's marketing and promotional purposes. Agency retains all underlying intellectual property rights not expressly assigned.

Data Privacy, Tracking & Compliance

Agency will only collect, process, and use geolocation and device identifiers to the extent necessary to provide the Services and shall implement technical and organizational measures to pseudonymize or aggregate data where feasible. Agency shall not sell personal data or combine collected geolocation data with Brand's first-party personal data without Brand's prior written consent. Both parties shall comply with applicable privacy and consumer protection laws and platform terms.

Pixel / SDK Placement: Agency is authorized to deploy necessary pixels, SDKs, or tags on Brand assets for the sole purpose of campaign delivery and measurement. Brand shall provide required access within requested timelines and written confirmation of placement responsibility.

Reporting, Measurement & Optimization

Exclusivity

Brand: Brand grants Agency exclusive rights to execute geofencing/retargeting for the defined categories in the Territory during the Term.

If exclusivity is selected, the parties agree exclusivity applies for months from campaign start.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may be immediate if breach is not cured within days after written notice.

Representations, Warranties & Indemnities

Each party represents that it has full right and authority to enter into this Agreement and to perform its obligations. Agency warrants that campaign materials will not infringe third-party intellectual property rights and that targeting methods will conform to platform policies. Brand warrants that it has the rights to any assets provided to Agency.

Indemnification: Each party shall indemnify, defend and hold the other harmless from third-party claims arising from its breach of this Agreement, its negligence, willful misconduct, or its violation of applicable laws in relation to the Services.

Limitation of Liability: Except for breaches of confidentiality, willful misconduct, or indemnification obligations, neither party's aggregate liability shall exceed the total fees paid or payable under this Agreement for the Campaign.

FTC Disclosure Compliance

Agency and Brand acknowledge that any advertising or influencer messages using geofencing or retargeting must include clear and conspicuous disclosures where required. Agency will advise on appropriate disclosure language and Brand shall approve copy prior to deployment. Brand remains responsible for final disclosure compliance for its products and services.

Miscellaneous

Governing Law: This Agreement shall be governed by the laws of the state of , excluding choice of law rules.

Entire Agreement: This document and its attachments constitute the entire agreement between the parties with respect to the Services and supersede prior agreements. Any amendment must be in writing and signed by authorized representatives of both parties.
