Brand grants Agency the access and permissions necessary to manage campaigns, including account access, conversion tracking, and analytics linking. Agency will use access only for performance of this Agreement and will not transfer access without written authorization.

Usage Rights & Intellectual Property

Ownership: Except for Agency's pre-existing proprietary tools and templates, all creative deliverables produced under this Agreement shall be considered work made for hire and, upon full payment, ownership shall vest in Brand. Agency retains a non-exclusive, royalty-free right to display campaign work in its portfolio and marketing materials unless Brand checks below to prohibit such use.

Compliance, Disclosures & Policies

Agency represents that all ads and creative will comply with applicable advertising laws, platform policies, and truthful advertising standards. Brand represents that it has the legal right to promote the products or services advertised and that claims in ads are substantiated.

FTC-Style Disclosure: When required by law or platform policy, the parties shall ensure appropriate disclosures are provided in ads, landing pages, and any sponsored placements. Brand acknowledges responsibility for product claims; Agency will advise on disclosure placement.

Termination & Kill Fee

Either party may terminate this Agreement with days' prior written notice. Upon termination without cause by Brand prior to the end of the initial term, Brand shall pay a kill fee equal to or the remainder of prepaid fees, whichever is less.

Upon termination for material breach by either party, the non-breaching party may terminate immediately if breach is not cured within 15 days of written notice.

Confidentiality

Each party shall maintain the confidentiality of the other party's confidential information and shall not disclose or use such information except as necessary to perform under this Agreement. Confidential information does not include information that is or becomes publicly available other than by breach of this Agreement.

Indemnification; Limitation of Liability

Indemnification: Each party agrees to indemnify, defend, and hold harmless the other party from third-party claims arising out of its breach of representations, negligence, willful misconduct, or violations of law in connection with this Agreement.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, special or punitive damages. The maximum aggregate liability of either party for claims arising out of this Agreement shall not exceed the total management fees paid under this Agreement during the preceding six months.

Warranties; Representations

Each party represents and warrants that it has the authority to enter this Agreement and perform its obligations. Agency warrants that services will be provided in a professional manner consistent with industry standards, but does not guarantee specific results or placement.

Amendment; Governing Law

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. Governing law: without regard to conflicts of law principles.
