MARKETING GOOGLE ADS SERVICE AGREEMENT

This Agreement is entered into effective as of (Effective Date), by and between:

Recitals

Client engages Agency to provide professional Google Ads account management, campaign creation, optimization, and reporting services, and Agency accepts such engagement under the terms set forth in this Agreement.

Scope of Services

Agency will provide the following services (Services): account setup or audit; campaign strategy; keyword and audience research; creative development for ads; bid and budget management; conversion tracking implementation; regular optimization; and reporting.

Compensation & Payment

Client shall pay Agency the fees described below in consideration for the Services.

Reporting & Performance

Account Access, Data & Tracking

Client will provide Agency with necessary access to Google Ads, Google Analytics, and any landing page platforms within five (5) business days of Effective Date. Agency will implement conversion tracking as agreed; Client authorizes Agency to place tags and pixels on Client properties.

Intellectual Property & License

Client retains all rights in Client-owned trademarks, logos, and materials provided to Agency. Agency grants Client a non-exclusive, worldwide license to use creative assets produced under this Agreement upon full payment of all sums due, unless otherwise agreed in writing. Agency may retain copies for archival and promotional use subject to Client confidentiality provisions.

Compliance & Advertising Policies

All advertisements and landing pages must comply with applicable laws, advertising standards, Google Ads policies, and truth-in-advertising requirements. Client certifies that all claims and statements provided to Agency are truthful, substantiated, and permissible. Agency will not approve or run ads containing prohibited claims; Agency may pause campaigns if legal risk is identified.

Client represents and warrants that any claims or endorsements used in ads are supported by adequate substantiation and that Client will promptly respond to requests for documentation. Client agrees to indemnify Agency for liability arising from Client-provided claims.

Client and Agency shall ensure any paid promotional content includes clear and conspicuous disclosures where required. Client confirms it will not instruct Agency to omit required disclosures. Confirmation that Client accepts responsibility for disclosures: Yes

Exclusivity

Client grants Agency the following exclusivity (if any): Agency is exclusive for paid search on agreed keywords. If exclusivity selected, specify scope and duration below.

Termination & Kill Fee

This Agreement shall continue for the term specified by the parties and may be terminated by either party upon prior written notice. Termination shall not relieve Client of payment for Services performed and media spent prior to termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Agreement and shall not use such information except to perform obligations hereunder. Confidential information excludes information that is public or was already known by the receiving party. Obligations continue for two (2) years after termination unless otherwise required by law.

Representations, Indemnification & Liability

Each party represents that it has authority to enter this Agreement. Client indemnifies Agency against claims arising from Client materials, claims, or instructions that violate law or third-party rights. Agency indemnifies Client for Agency's gross negligence or willful misconduct.

Limitation of liability: Except for indemnification obligations or willful misconduct, each party's aggregate liability for direct damages shall not exceed the total fees paid to Agency under this Agreement in the six (6) months preceding the claim. Specify alternate liability cap if different:

Governing Law & Disputes

Miscellaneous
