What the Marketing Google Ads Services Agreement Covers

A Marketing Google Ads Services Agreement is a written contract that defines the relationship between a marketing provider and a client for managing Google Ads campaigns. It specifies services such as account setup, campaign strategy, bidding and budget management, creative assets, conversion tracking, reporting cadence, and access to Google Ads accounts. The agreement allocates responsibilities for data access, billing, third-party costs, and performance measurement while establishing timelines, termination rights, confidentiality, and intellectual property ownership for campaign materials and analytics.

Why a Clear, Written Agreement Matters

A formal agreement reduces ambiguity about scope, billing, account access, and performance expectations, helping prevent disputes and ensuring timelines, reporting, and payment terms are enforceable under contract law.

Why a Clear, Written Agreement Matters

Who Typically Uses This Agreement

The Marketing Google Ads Services Agreement suits organizations that outsource campaign management or hire agencies to run paid search and display advertising.

  • Marketing agencies and consultants managing multiple client Google Ads accounts and billing for media spend and management fees.
  • In-house marketing teams hiring contractors for specialized Google Ads setup, migration, or seasonal campaign support and reporting.
  • Small and mid-size businesses engaging external vendors to scale search and display advertising without hiring full-time PPC staff.

Use this agreement when you need to document deliverables, access permissions, budgets, and legal protections before any paid media is launched.

Typical Signers and Their Roles

Agency Owner

The agency owner or authorized account manager signs to accept scope, fees, and to grant access to their team; include job title and authority to bind the agency in contract to avoid later signature disputes.

Client Executive

A client-side executive or procurement officer signs to commit budget and grant account access; verify the signer has authority to authorize payments and approve changes to campaign spend.

Step-by-Step: Completing the Agreement

Follow these ordered steps to prepare, approve, and execute a Marketing Google Ads Services Agreement efficiently.

  • 01
Prepare Scope: Draft specific deliverables, channel coverage, and campaign objectives in plain language.
  • 02
Collect Access: Obtain Google Ads Account/MCC IDs and necessary user permissions from the client.
  • 03
Confirm Budget: Document monthly spend limits, billing cadence, and pass-through vs included costs.
  • 04
Sign & Execute: All authorized parties sign, date, and exchange fully executed copies before campaign launch.

Customizing the Agreement Online: Typical Workflow Settings

Setup online fields and routing to match your internal approval and campaign activation process before sending the document to signers.

Field Configuration
Authentication Email link or SMS code for signer attribution
Account Linking Ask for Google Ads ID and user permission confirmation
Billing Fields Capture billing contact, PO number, and payment terms
Reporting Triggers Conditional fields to set reporting cadence and KPI thresholds

Digital Signing and Integration Considerations

Choose eSignature and integration settings that preserve audit trails and link documents to campaign systems before sending.

  • Google Workspace: Use for storing executed contracts and sharing access
  • CRM Integration: Connect to Salesforce or NetSuite for billing and account sync
  • Google Ads Access: Verify MCC linking and user permissions prior to execution

Ensure chosen integrations and authentication steps meet your internal compliance and data access policies before collecting signatures.

How Execution and Onboarding Typically Work

A common sequence from agreement setup to live campaign includes account linking, permission checks, and staged activation tied to signed milestones.

  • Upload Agreement: Sender uploads template and populates client fields
  • Add Signers: Specify signers, roles, and authentication methods
  • Signers Execute: Signers authenticate and complete signatures
  • Activate Campaign: Agency validates access and launches per start date

Core Contract Sections to Include

A professional agreement should include clear sections that cover deliverables, account access, payment, reporting, data, and termination to reduce disputes.

Scope of Services

Describe precise campaign types, channels, tasks, and exclusions; include deliverable frequency and owner for each task to avoid scope creep and billing disagreements.

Billing & Payments

Specify management fees, media pass-through billing, invoicing schedule, late payment interest, and any required purchase order numbers to ensure predictable cash flow.

Account Access

Define required Google Ads permissions, MCC access procedures, and security steps for transferring or revoking access during or after engagement.

Reporting & KPIs

Set KPI definitions, measurement windows, reporting cadence, and data sources so performance comparisons remain consistent and auditable.

Data Ownership

Clarify ownership of analytics, remarketing lists, creative assets, and audience data; include permitted uses and data portability on termination.

Termination & IP

State termination rights, notice periods, post-termination obligations for access removal, and disposition of campaign creative and account assets.

Supporting Documents Often Attached

Attach clear exhibits and schedules to make pricing, deliverables, and change control enforceable and easy to reference during campaign execution.

Statement of Work

Detailed task list, timelines, and milestones that define deliverables and acceptance criteria tied to fees and launch dates.

Billing Schedule

Invoice cadence, media pass-through mechanics, and approved payment methods to prevent billing disputes and chargebacks.

Data & Privacy Addendum

Clauses covering tracking, PII handling, and any HIPAA or industry-specific requirements when customer data or health-related advertising is involved.

Change Order Template

Pre-defined process and fee structure for scope changes, ensuring both parties sign amendments before additional work begins.

Practical Tips for Accurate, Efficient Agreements

Apply these practices to speed approvals, reduce disputes, and ensure campaigns launch on schedule.

Standardize Templates
Use a single vetted template with optional exhibits for vertical-specific clauses rather than drafting new agreements each time, reducing legal review hours.
Require Account IDs Upfront
Collect Google Ads Account or MCC IDs and admin access confirmation before sending the contract to ensure readiness at execution.
Define Measurement Clearly
Spell out how KPIs are calculated, attribution method, and reporting windows to avoid later disagreement about performance outcomes.
Use Conditional Fields
Include conditional language for optional services and automatic fee adjustments to ensure the executed document matches selected services.

Common Dates and Notice Periods to Track

Track effective dates, campaign starts, billing dates, renewal notices, and termination windows to avoid missed obligations or automatic renewals.

Effective Date:

Enter MM/DD/YYYY. This begins obligations, billing, and statute of limitations for disputes.

Campaign Start Date:

Specify campaign activation date tied to account access confirmation.

Billing Cycle:

Note monthly or quarterly invoice dates and payment due days.

Reporting Cadence:

Set weekly, biweekly, or monthly reporting delivery dates and formats.

Renewal Notice:

Specify notice period for non-renewal to avoid automatic extension obligations.

Common Mistakes to Avoid

  • Vague scope language that omits channel caps or ad formats, leading to scope creep and billing disputes during campaign scaling.
  • Failing to secure explicit Google Ads admin access or MCC linking before launch, which delays activation and complicates billing reconciliation.
  • Not defining KPI calculations or attribution models, causing later disagreement about whether performance targets were met.
  • Omitting data ownership clauses for audiences and creative assets, resulting in disputes over reuse after contract termination.

Penalties and Legal Risks of an Incorrect Agreement

Billing Disputes: Late payments, chargebacks, and contested media spend can interrupt campaigns and harm ROI.
Access Loss: Poorly documented permissions risk losing account access after termination or personnel changes.
Misstated KPIs: Unclear measurement may lead to contract breach claims or reimbursement demands.
Data Liability: Improper handling of PII or HIPAA data can trigger regulatory penalties.
Intellectual Property: Failure to transfer or license creative can result in infringement claims or usage restrictions.
Invalid Signatures: Missing authority or poor attribution can render the contract unenforceable.
