Usage Rights and Intellectual Property

License Grant: Upon full payment, the Agency grants the Brand a worldwide, transferable, sublicensable, royalty-free license to use, reproduce, distribute and display the Deliverables for the purposes described in this Agreement for the Term specified below, subject to the Brand's compliance with payment and attribution obligations.

Pre-existing Materials: Each party retains ownership of its pre-existing intellectual property. Agency hereby grants Brand a license to any Agency pre-existing materials incorporated into the Deliverables to the extent necessary for Brand's exercise of the rights granted herein.

Moral Rights: Agency hereby waives any moral rights in the Deliverables and agrees to execute any instruments reasonably required to effectuate the license and assignment provisions of this Agreement.

FTC Disclosure Compliance

The Agency acknowledges that any paid endorsements or sponsored content must include clear, conspicuous disclosure of the commercial relationship in all content and placements where required by applicable advertising and consumer protection laws. The Agency shall ensure that all endorsements, sponsored posts, videos and other Deliverables include required disclosures in a manner consistent with the intended platform and format.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice.

Termination for Material Breach: Either party may terminate immediately if the other party fails to cure a material breach within days after written notice of such breach.

Confidentiality; Data

Each party shall protect confidential information of the other party and use it only for performance under this Agreement. Confidential information shall not include information that is publicly known other than by breach of this Agreement, was already known to the receiving party, or was independently developed without use of the disclosing party's confidential information.

Representations, Warranties and Indemnities

Agency represents and warrants that (a) it has the full power and authority to enter into this Agreement and to grant the rights granted herein; (b) the Deliverables will be original and will not infringe the intellectual property or publicity rights of any third party; and (c) it will comply with applicable laws and platform policies in producing and publishing Deliverables.

Limitation of Liability; Insurance

Except for breaches of confidentiality, gross negligence, willful misconduct or indemnity obligations, neither party will be liable for consequential, incidental, punitive or special damages. The aggregate liability of either party for any claim arising from this Agreement shall not exceed the amounts paid or payable to Agency under this Agreement in the twelve (12) months preceding the claim.
