MARKETING GRAPHICS CONTRACT

Parties and Effective Date

This Marketing Graphics Contract (the Agreement) is entered into on (Effective Date), by and between:

Recitals

WHEREAS, Brand / Client desires to retain Agency / Creator to produce marketing graphics as described below, and Agency / Creator agrees to create such works under the terms and conditions set forth in this Agreement.

Campaign and Scope of Work

Deliverables and Schedule

Agency / Creator shall deliver the graphics described below. Each deliverable must conform to the technical specifications and file formats required by Brand / Client.

Compensation and Payment

Brand / Client shall pay Agency / Creator the fees and reimbursements set forth below. All monetary amounts are in U.S. Dollars unless otherwise stated.

Usage Rights and Intellectual Property

Subject to full payment, Agency / Creator grants Brand / Client the following license for the deliverables:

Unless otherwise agreed in writing, Creator retains ownership of underlying source files and the Brand / Client receives the usage rights described above for final deliverables.

Approvals, Revisions, and Delivery

Compliance and Certifications

Agency / Creator represents and warrants that: (a) the deliverables are original or properly licensed; (b) Agency / Creator has the full right to grant the rights set forth in this Agreement; and (c) all third-party materials are cleared for the intended use.

Agency / Creator will include clear and conspicuous disclosures on paid or sponsored placements as required by applicable advertising and consumer protection laws.

Confidentiality

Each party agrees to preserve the confidentiality of the other party's confidential information disclosed in connection with this Agreement and not to use such information except as necessary to perform this Agreement. Confidential information excludes information that is or becomes public through no fault of the receiving party.

Warranties, Indemnification, and Liability

Agency / Creator warrants that the deliverables will materially conform to the specifications set forth in this Agreement at time of delivery. Agency / Creator will indemnify and hold harmless Brand / Client from third-party claims alleging infringement arising from Agency / Creator's breach of the foregoing warranty.

Except for liability arising from willful misconduct or material breach of intellectual property warranties, neither party's aggregate liability shall exceed the fees paid to Agency / Creator under this Agreement.

Termination

Either party may terminate this Agreement upon written notice to the other party in the event of a material breach that remains uncured for the notice period below.

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties with respect to its subject matter. No amendment or waiver is effective unless in writing and signed by both parties.

Force majeure events relieve the affected party of obligations while such events prevent performance. Assignment of this Agreement requires prior written consent of the non-assigning party.

Acknowledgment

Each party represents that the person signing below is duly authorized to bind the party. By signing, the parties acknowledge they have read, understand, and agree to be bound by the terms of this Agreement.
