This Marketing Agreement ("Agreement") is made effective as of (the "Effective Date"), by and between:

FTC Disclosure Compliance

Creator will comply with all applicable advertising and endorsement rules, including clear and conspicuous disclosures where the Creator has a material connection to the Brand. Creator represents and warrants that all posts and endorsements will contain disclosures in a manner readily understandable to the target audience.

Termination and Kill Fee

This Agreement may be terminated as provided below. Termination does not relieve either party from obligations accrued prior to termination.

Confidentiality

Each party will maintain in confidence proprietary information disclosed by the other party that is marked confidential or that a reasonable person would understand to be confidential. Confidential information does not include information that is publicly known, rightfully received from third parties, independently developed without use of the other's confidential information, or required to be disclosed by law or valid process.

Indemnification and Warranties

Creator represents and warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws. Creator will indemnify and hold harmless Brand from third-party claims arising from Creator's breach of these representations. Brand will indemnify and hold harmless Creator from liabilities arising from Brand's materials, marks, or instructions that cause infringement or legal exposure.

Insurance

Creator shall maintain commercial general liability insurance with limits not less than:

Neither party will be liable for delays or failures due to causes beyond reasonable control, including acts of God, strikes, epidemics, or governmental restrictions.
